WHO CAN INCORPORATE A PROFESSIONAL CORPORATION?

Certain regulated professions permit their members to operate through a professional corporation. These professions include lawyers, accountants, doctors, dentists and a number of other regulated health professionals.

WHY SHOULD YOU INCORPORATE YOUR PROFESSIONAL PRACTICE?

Professionals can’t shield their professional liability to clients or patients by incorporating. They incorporate to take advantage of corporate tax benefits, including the small business deduction which effectively lowers corporate income tax rates on active business income.

HOW IT WORKS

PROFESSIONAL INCORPORATION

The first step is to incorporate and organize a professional corporation in compliance with the requirements of the Ontario Business Corporations Act and your College or other governing body. In terms of organization, your professional corporation needs to follow certain naming conventions and you, along with other members of your profession, are typically required to be the sole directors, officers and shareholders. One exception is for physicians and dentists where the law allows certain family members to be non-voting shareholders of their professional corporations.

When incorporated, the documentation you receive includes the articles and certificate of incorporation, initial information return, by-laws, director and shareholder resolutions and consents, share subscriptions, share certificates, registers, ledgers and NUANS name search report. The documents will be sent to you in electronic format via a PDF binder (e-minute book) typically within 1 business day. You may also choose to receive a physical minute book binder.

Government Filing Fee The total cost for the incorporation and organization of your professional corporation includes all government and 3rd party fees.

Classes of Shares For most professions, the members of that profession must be the only shareholders. However, for doctors and dentists, you can have certain family members as non-voting shareholders as well.

Electronic Minute Book The documents are sent to you in electronic format via a PDF binder (e-minute book) typically within 1 business day.

Physical Minute Book Although not required by law, we can also send you a physical minute book binder by courier at an extra charge of $85 + HST

Fee to Your Governing Body Each college or governing body charges a fee to review and process the application paperwork. The fees vary depending on the governing body.
